Terms of Service

These Terms of Service ("Agreement") constitute a legally binding contract between ChemSynthetics Solutions, LLC ("Provider") and the entity executing this Agreement ("Client").

1. Acceptance of Terms

By initializing a Workspace, integrating via API, or accessing the ChemSyn platform, you confirm that you have the authority to bind your organization to these terms. If you do not agree, strictly refrain from using our infrastructure.

2. Commercial Eligibility (B2B Only)

The Service is strictly defined as a Business-to-Business (B2B) tool for industrial inventory management and compliance signaling.

  • You represent that you are a legally recognized corporate entity (LLC, Inc., GmbH, Ltd., etc.).
  • You agree that the Service will not be used for personal, household, or consumer purposes.
  • Provider reserves the right to request Know Your Business (KYB) documentation at any time.

3. SaaS License & Access

Subject to payment of applicable fees, Provider grants Client a limited, non-exclusive, non-transferable, revocable license to access the Platform solely for internal business operations related to supply chain logistics.

Service Availability (SLA): We target 99.9% uptime for API endpoints, subject to scheduled maintenance windows communicated via the System Status dashboard.

4. Usage Restrictions & prohibited Conduct

Client shall not, and shall not permit any third party to:

  • Spam & Unsolicited Mail: Send marketing, promotional, or cold-outreach emails via the transactional infrastructure. Violation results in immediate termination.
  • Reverse Engineering: Decompile, disassemble, or reverse engineer the API or source code.
  • High Risk Activities: Use the Service for operation of nuclear facilities, air traffic control, or life support systems where Service failure could lead to death or personal injury.
  • Competitor Analysis: Access the Service to build a competitive product.

5. Fees, Invoicing, and Payment

Access to the Platform is subscription-based.

  • Invoicing: Corporate accounts are invoiced Net-30 unless otherwise agreed in a separate Order Form.
  • Usage Overages: API calls exceeding the monthly tier limit will be billed at the standard overage rate specified in your dashboard.
  • Taxes: Fees are exclusive of all taxes, levies, or duties imposed by taxing authorities.

6. Termination & Suspension

For Cause: We may terminate this Agreement immediately if you violate the Acceptable Use Policy (AUP), specifically regarding spam or data privacy violations.

Effect of Termination: Upon termination, your right to access the API ceases immediately. We will retain data for 30 days to allow for export, after which it will be permanently deleted.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHEMSYNTHETICS SOLUTIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES.

OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT PAID BY YOU IN THE PAST 12 MONTHS.

8. Governing Law

This Agreement shall be governed by the laws of the Commonwealth of Massachusetts, USA, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Boston, Massachusetts.
